First Majestic Silver Corp. filed a technical report for its Los Gatos Silver Mine with an effective date of August 25, 2026, supporting mineral resource and reserve estimates as of December 31, 2025.

Total cash consideration is US$90 million, including US$2.5 million at closing (US$500,000 already in escrow), US$2.5 million within 180 days, US$10 million annually for five years, and US$35 million on August 31, 2032.
The sale includes all shares of Minera El Pilon, S.A. de C.V., which holds the mine and the Jalisco Group of Properties (5,245 hectares of mining concessions).
Closing is subject to customary conditions and Mexican Antitrust approval, with expected closing in the fourth quarter of 2026.

Sierra Madre acquired all shares of First Majestic Del Toro, S.A. de C.V., which holds 100% of the Del Toro Silver Mine, for US$20M cash and 10,870,000 Sierra Madre common shares at C$1.30 each.
First Majestic's stake in Sierra Madre rose to 62,433,076 common shares, about 24.77% of outstanding shares, and those shares are subject to escrow release over four dates through June 2028.
