The exchange offers were made pursuant to a prospectus dated June 8, 2026, and the settlement date is expected to be July 13, 2026.
The largest series tendered was the 6.375% Guaranteed Notes due 2038, with $2,060,368,000 accepted, followed by the 3.125% Guaranteed Notes due 2049 with $993,464,000 accepted.
The exchange agent and information agent for the offers was D.F. King & Co., Inc.
The exchange notes are new registered notes issued by Shell Finance US Inc. and fully and unconditionally guaranteed by Shell plc.
