From time to time, we are involved in various legal proceedings arising from the normal course of business activities. We are not currently a party to any litigation the outcome of which, we believe, if determined adversely to us, would individually or taken together have a material adverse effect on our business, operating results, cash flows, or financial condition. The outcome of claims, lawsuits and legal proceedings brought against us, however, is subject to significant uncertainties. There have been no material changes to the legal proceedings previously disclosed under the heading “Item 3. Legal Proceedings” in Part I of our 2025 Annual Report, other than as follows:
In re Zeta Global Holdings Corporation Securities Litigation
On July 8, 2026, the U.S. District Court for the Southern District of New York denied the motion to dismiss previously filed on July 11, 2025 by the Company and the individual defendants; the case will now proceed to discovery. We are vigorously defending ourselves against this lawsuit, and we believe the claims made in the report are without merit. This matter remains in the early stages of the legal process, and as a result, the Company is not able to estimate a range of possible loss.
