The tender offers expire at 5:00 p.m. New York City time on August 14, 2026, unless extended or terminated.
The notes subject to the offers include 4.375% Senior Notes due 2045, 5.400% Senior Notes due 2034, 4.950% Senior Notes due 2029, and 2.650% Senior Notes due 2027, with a $250 million sub-cap on the 2027 notes.
The company intends to redeem any remaining 7.125% Senior Notes due 2029 on September 9, 2026, at a make-whole redemption price.
Barclays Capital Inc. and PNC Capital Markets LLC are the dealer managers, and Global Bondholder Services Corporation is the tender and information agent.
